Terms of Service

Healaxy AI (“Healaxy”, “we”) provides an AI-assisted pre-consultation intake and clinical documentation platform for healthcare organizations and their staff (“you”). These terms govern your organization’s and your use of the platform.

Healaxy AI assists clinicians; it does not practice medicine. All AI-generated content — interview summaries, suggested codes, reports, nutrition plans — is a draft for review by a qualified clinician, who remains solely responsible for all clinical decisions, diagnoses, and treatment. Healaxy AI is not intended for emergency use.

Accounts are provisioned per organization. You are responsible for keeping credentials confidential, using access only for your organization’s legitimate clinical workflow, and ensuring information you enter is accurate. Administrators are responsible for granting and revoking their staff’s access promptly.

Your organization is the data fiduciary for patient information processed through the platform; Healaxy processes it on your instructions as described in our Privacy Policy and any data processing agreement between us. You are responsible for obtaining patient consent required by applicable law, including the Digital Personal Data Protection Act, 2023.

You agree not to misuse the platform: no attempts to access other organizations’ data, probe or overload the service, reverse engineer it, use it to build a competing product, or process data of individuals without a lawful basis. We may suspend access that threatens the service or other customers.

Where the platform is provided under a pilot arrangement, it is offered “as is” for evaluation, features may change, and either party may end the pilot with written notice. Specific pilot terms in a signed pilot agreement take precedence over these terms.

Healaxy owns the platform and its technology. Your organization owns its data. You grant us the rights needed to operate the service (processing, storage, display to your authorized users). We do not use your patient data to train foundation models.

We aim for high availability but do not guarantee uninterrupted service. We may improve or modify features; material reductions in functionality during a paid term entitle you to terminate.

To the maximum extent permitted by law, Healaxy’s aggregate liability arising out of the service is limited to the fees paid by your organization in the twelve months preceding the claim (or ₹10,000 for free pilots), and neither party is liable for indirect or consequential loss. Nothing limits liability that cannot be limited under applicable law.

These terms are governed by the laws of India, with courts at New Delhi having exclusive jurisdiction, subject to any dispute-resolution terms in a signed agreement.
